Legal

These terms cover the use of this website and the quote requests that start from it. They are written to be read, not to be survived. If something here is unclear, write to quotes@dariaslogistics.com and ask before you rely on it.
This website is operated by Darias Logistics Corp (“Darias Logistics Corp”, “we”, “us”), a corporation registered in the State of Florida, Florida document number P20000054725. By using this site or sending us a quote request, you accept these terms.
It is information about what we do, and a way to reach us. Nothing on it is an offer, a price, or a contract, and nothing on it obliges us to accept a shipment.
The equipment dimensions, weight limits, port and terminal details, gate hours and transit times published here are a working guide, gathered from operators and public sources and kept as current as we can. They change without notice, and the terminal or the regulation is always the authority. If you are making a decision that depends on one of these numbers, confirm it with us or with the terminal first.
A quote is an estimate for the shipment you described, priced on the information you gave us at the time. It is not a booking and it does not hold capacity.
If the load turns out to be different from the description, the price changes. Weight, dimensions, an added stop, a residential or restricted delivery, a missed appointment, waiting time, or hazardous materials that were not disclosed will all move it. We will tell you what changed and why.
The rate calculator gives an instant estimate from the details you type in. It is arithmetic on published assumptions, not a price we have looked at. It is not a quote, not an offer, and not a booking, and the number can change once we see the actual move. Everything in the Quotes section above applies to it.
The compliance checker is information, not advice. It lists the filings a carrier with the profile you describe would typically need, so that people new to the industry can see the shape of it in one place. It is not legal, regulatory, tax or accounting advice, using it creates no professional or advisory relationship with us, and we are not your compliance consultant, your attorney or your filing agent.
The agencies are the authority, not this page. Requirements, thresholds, fees and deadlines are set by the FMCSA, the IRS, your base state and the states you run in, and they change. Your own circumstances may add filings this tool does not know about or remove ones it lists. Before you file, skip, or rely on any of it, confirm it with the agency concerned or with a professional who is advising you specifically. We are not responsible for a filing that was missed, made late, or made wrongly.
Only in writing, from us. A request through this site, an email asking for a price, or a quote we sent you does not by itself put a truck on the road. If we have a signed agreement or a rate confirmation with you, that document controls and these terms fill the gaps.
We arrange and coordinate the movement of freight. Depending on the lane, the equipment and the day, a move may be performed by us or by a transportation provider we select. Where a third party performs the carriage, that carrier is responsible for the carriage itself and its terms and liability apply to it, and we remain your point of contact for the job.
Hazardous materials must be disclosed to us in writing before the shipment is booked, never at pickup. As the shipper, you are responsible for classification, packaging, marking, labelling and shipping papers, and for providing the placards where the load requires them.
If hazardous materials are tendered without being disclosed, we may refuse or stop the shipment, and the costs, delays, fines and penalties that follow are yours. This is not administrative strictness. Undeclared hazmat puts a driver, a terminal and the public at risk, and it changes what routes the load may legally use.
Demurrage, per diem, chassis charges, detention, storage, exam and scan fees, congestion and similar charges are set by the terminal, the ocean carrier or the chassis provider. They are yours, and where we pay one to keep your freight moving, you reimburse it.
These charges usually start with a clock, not with a decision. The last free day is the clearest example: once it passes, the meter runs whether or not anyone has been told. We will flag what we can see, and the underlying obligation stays with the cargo.
Transit and delivery times are estimates. Ports, weather, traffic, appointment systems, equipment availability and customs all move them. Unless we have agreed a guaranteed time in writing, times are not guaranteed and we are not liable for delay.
Charges are due on the terms stated on the invoice. Balances not paid on time may carry interest at the maximum rate permitted by law, together with the reasonable costs of collection, including legal fees. Charges are payable in full without set-off or deduction, and a dispute over one invoice does not suspend the rest.
Loss or damage should be noted on the delivery receipt at the time and reported to us in writing as soon as you find it, so the claim can be raised while the evidence still exists. Where the carriage was performed by a motor carrier, claims for loss or damage to the cargo are governed by applicable law and by that carrier’s terms, including their notice periods and limits.
To the fullest extent the law allows, our own liability arising out of this website, a quote, or our arrangement of a shipment is limited to the charges you paid us for the shipment concerned. We are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost sales or lost production, even where we were told they were possible.
Cargo coverage varies by carrier, by commodity and by shipment, and it is not the same thing as insuring your goods for what they are worth to you. We do not insure your cargo. If the value of a load matters to you, arrange your own cargo insurance for it, and tell us the value before it moves.
We may decline any shipment. Some are simply outside what we do, and some we will not carry at all, including goods that are illegal to ship, undeclared hazardous materials, live animals, human remains, and cash, jewellery or other high value items outside a proper specialist arrangement.
We are not liable for failure or delay caused by events beyond our reasonable control, including weather and storms, port or terminal closures, labour action, equipment or chassis shortages, customs or government action, accidents, road closures, failures of utilities or networks, and acts of war or terrorism.
You agree to indemnify us against claims, losses, fines and reasonable legal costs arising from your breach of these terms, from a misdeclaration of the freight, from undisclosed hazardous materials, or from goods that were not legal to ship.
Please use it normally. Do not attempt to break, overload or gain unauthorised access to the site, do not scrape it in bulk, and do not use the quote form for automated or unsolicited submissions. The text, photographs, diagrams and design on this site belong to us and may not be copied for commercial use without permission.
Where we link to a port, terminal or government site, we link because it is the authority on its own information. We do not control those sites and we are not responsible for them.
We may update these terms. The date at the top of this page shows when they last changed, and the version in effect when you send a request is the one that applies to it.
These terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. The state and federal courts located in Miami-Dade County, Florida are the venue for any dispute. If any part of these terms is found unenforceable, the rest continues to apply.
This site is published in several languages. These terms are maintained in English, and the English version is the one that governs.
